Terms and Conditions of Sale - Koolairpump.com

Please read this document. It pertains to your order shipping, warranty, returns, cancellations, and Prop 65 Warning.

The items described on this website are provided for your convenience. A legally binding contract with you will arise only when your payment for any items you order is received by us. You will be notified via email of acceptance of your order at the email address you provide on the electronic order form. The price for any items ordered by you through this site will be the price shown on this site at the time you place your order. In addition to the price, if a tax and/or shipping and handling charge is shown on the electronic order form for your order, it will also be payable by you when we accept your order. Items ordered from this site may be delivered in separate shipments. The following Terms and Conditions shall govern sales made through this site by Koolairpump.com, its subsidiaries, and its authorized distributors (“Seller”).

1. Terms and Conditions of Sale

All descriptions, quotations, proposals, offers, acknowledgments, acceptances, and sales of Seller’s products are subject to and shall be governed exclusively by the terms and conditions stated herein. Buyer’s acceptance of any offer to sell is limited to these terms and conditions. Any terms or conditions in addition to, or inconsistent with those stated herein, including those contained in any of Buyer’s documents or forms, are hereby objected to. No such additional, different, or inconsistent terms and conditions shall become part of the contract between Buyer and Seller unless expressly accepted in writing by Seller. Prices are subject to change at any time as manufacturers increase their prices.

2. Warranty

KoolAir Pump offers warranty coverage of one (1) year for manufacturer’s defects. The coverage does not cover defects or issues caused by improper installation, setup, or flood damage for open-vent motors. Items are eligible for warranty coverage for 365 days after the purchase date. Copies of manufacturer warranties are supplied with the product or are available upon request.

To submit a warranty claim, contact us at (800) 810-1053 or [email protected]. You will need to provide photos or videos of the issue. Returns for warranty inspection will not be accepted if the information is incomplete or if the documentation clearly indicates improper installation, setup, or user error. After evaluating the information provided, we will notify you within 24 to 48 hours.

SELLER MAKES NO OTHER WARRANTY, GUARANTEE, OR REPRESENTATION OF ANY KIND WHATSOEVER. ALL OTHER WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY AND FITNESS FOR PURPOSE, WHETHER EXPRESS, IMPLIED, OR ARISING BY OPERATION OF LAW, TRADE USAGE, OR COURSE OF DEALING, ARE HEREBY DISCLAIMED.

Limitation of Remedy: Except as otherwise limited by applicable law, Seller’s liability arising from or in any way connected with the items sold or this contract shall be limited exclusively to repair or replacement of the items sold, or refund of the purchase price paid by Buyer, at Seller’s sole option. If there has been a price increase by the manufacturer at the time of the warranty claim, the difference is the responsibility of the purchaser. In no event shall Seller be liable for any incidental, consequential, or special damages of any kind or nature whatsoever, including but not limited to lost profits, whether alleged to arise from breach of contract, express or implied warranty, or in tort, including without limitation negligence, failure to warn, or strict liability, except as otherwise limited by applicable law.

This warranty excludes:

Labor, freight, and related costs incurred by the customer to make the allegedly defective equipment available to Koolairpump.com / Koolair Pump, Inc. or its authorized service center for inspection.
Reinstallation costs of repaired equipment.
Reinstallation costs of replacement equipment.
Reimbursement for loss caused by interruption of service.
Pump-out charges.
Consequential damages of any kind.

3. No Warranties to Consumers

No warranties to consumers as defined in the Magnuson-Moss Warranty - Federal Trade Commission Act.

4. Title & Responsibility

Title of purchased goods does not transfer from Seller to Buyer until payment in full is received by Koolairpump.com at its office in New Jersey. Responsibility for goods transfers to the Buyer when purchased goods are shipped. Buyer must open and inspect all packages upon receipt. We are not responsible for damages once the item is signed for. File shipping damage claims with the appropriate freight carrier.

5. Shipping

We have established agreements with multiple manufacturers across the U.S. to provide you with the widest selection of products and the best service. Your order may arrive in multiple shipments from multiple locations. This information is presented to you during checkout. If there are any special shipping instructions that we are not made aware of at the time of sale, you hereby authorize us to charge your credit card for any additional charges we incur as a result. We will submit proof of any such charges to you via email at the time the additional charge is incurred.

6. Transit Delays & Delivery

All shipping transit times and delivery dates are estimates and are not guaranteed. Order cancellations due to shipping delays for any reason will be subject to the applicable restocking fee. Any additional freight charges or return fees will be applied in addition to the manufacturer’s restocking fee.

Delivery Corrections

Any delivery corrections due to incorrect information provided by the customer at the time of order will be charged back to the customer’s credit card. This includes all residential deliveries and special deliveries (e.g., military bases, schools, construction sites).

We are not responsible for packages left at residential addresses by any carrier. If you have a residential address, you must file a claim directly with the carrier. Please notify us if your address is residential and we can suggest alternatives.

Truck Shipment Terms

Applies to order shipments that must ship via truck.

If you ship freight collect, the goods are owned by the customer once the freight leaves our dock. We are not responsible for any shipping damages, address corrections, or redelivery charges on freight collect shipments.

Once freight leaves our dock, we will send tracking but are not responsible for notifying the receiver when the delivery will arrive. Normal delivery hours are 8:00 AM to 5:00 PM EST. Someone must be available to receive the goods. If there is a redelivery charge because no one is available, the goods will not be released until the customer pays the charge. If the customer rejects the shipment, they are subject to the restocking fees listed in this document.

The quoted shipping charges are for standard truck shipment to a dock designated to receive freight. Someone must be present to receive truck shipments. Shipments that require a call prior to delivery, 24-hour notification, liftgate, inside delivery, and/or residential delivery will incur additional charges.

All shipment BOLs will have weight and number of packages on the skid. If you sign for delivery, be sure to count the packages. We are not responsible for the freight once the customer signs for it. All package freight and small packages must be opened and inspected within 48 hours. We are not responsible for damages to goods after delivery, or for damages to goods shipped to a third party once the customer receives them.

Online Orders

Any orders entered on Koolairpump.com or quotes sent via email and paid online that are incorrect and not canceled or corrected by 5:00 PM EST of the order day will be charged a 3% fee to cancel the order and refund the payment to your credit card. The order day starts at 12:00 AM EST.

FOB Shipping Points

All shipments are FOB (Free on Board) Shipping Point. Koolair Pump is not responsible for any taxes, customs duties, or additional fees incurred on any international shipment. FOB points are determined by stock levels at several warehouse locations. We do not guarantee shipping points on any products on Koolairpump.com. If you need an exact FOB point, please call (800) 810-1053 to speak with a customer service representative.

Manufacturer Recommended Shipping Method

Koolair Pump may determine the best way to ship the pump to the customer. If the customer insists on using their own shipping method (e.g., UPS, USPS, FedEx) or any other domestic parcel service over the recommended shipping method, the consignee (purchasing customer) owns the freight once it leaves the dock. The consignee will be responsible for filing the claim with the carrier and taking the loss if the carrier does not pay the claim.

UPS Additional Handling - 70+ lb Packages

Service time in transit is not guaranteed.

Under UPS and other small package carrier tariffs, once a package requires additional handling (70 lbs or more), the service time in transit is not guaranteed because it requires additional personnel. This applies to any service from ground to air. Delays are more common with next-day air and other air services due to capacity issues. Some customers split shipments into two packages to ensure on-time arrival if the combined weight would exceed 70 lbs, or they ship one extra day early.

Special Orders & Expedited Orders

Any special or expedited orders from the factory that are canceled or not picked up by the customer are subject to up to a 50% restocking fee. No exceptions.

7. Returns

Like-new, non-defective, undamaged products purchased from this website may be returned at Buyer’s cost for a partial refund of the purchase price, less the original shipping charge and any return shipping costs incurred by Koolairpump.com. Returns must be in original packaging and are subject to authorization. All returns are subject to a restocking fee of up to 25%, depending on the product and its condition. The exact fee will be confirmed at the time the return is authorized.

Once an item is ordered and paid for, it will be considered a return from that point forward. Orders canceled due to a manufacturer’s change in lead time will be subject to a cancellation fee.

No returns on parts, seals, or O-rings.
Specialty pumps, custom builds, and non-standard products are not returnable.
No returns accepted on items unused and unopened after 30 days from receipt of order.
Refusal of a shipment without prior authorization does not qualify for a refund.

Delivery Dates Are Not Guaranteed

We are unable to refund freight or cancel an order based upon weather delays, holidays, or anticipated disruptions posted by any parcel or freight company.

In the event of a refund, the Buyer will only be refunded the amount of the item at the time of purchase, not the present-day cost.

Residential addresses are not guaranteed for delivery timing. Trucking and shipping companies may require an appointment, and the manufacturer is not responsible for late shipments caused by shipping companies.

We are not responsible for duplicate orders placed on Koolairpump.com. Duplicate orders will be subject to a restocking fee to return.

All returns, including refusal of shipments, are subject to the restocking fees described above.

Shipping Errors or Damage

If you are dissatisfied with your purchase due to a shipping error or missing item, you may qualify for a return or exchange under our Returns and Refunds Policy. Please call us at (800) 810-1053 within three (3) days of receiving the item to report the error or damage.

8. Payment Terms

Payment terms for business credit are NET 30 days, payable by company check, money order, credit card, or cashier’s check in U.S. dollars only. Personal checks are not accepted unless the business credit is established in the name on the check. There will be a $25 charge for all returned checks. A finance charge of 1.5 percent per month will be charged for payments received after the due date. If an account balance is delinquent or in default, we may decline to authorize a purchase and we may, at our discretion, cancel the business credit account. We may report to credit reporting agencies and other creditors the status and payment history of your business credit account. Your order may contain stock or non-stock items (which are custom ordered for you); therefore, your purchase is charged to your credit card at the time your order is placed. If you are on credit card terms (shown on your quote and invoice), we reserve the right to charge your card for all balances owed. If you are on credit card terms and have a card on file with us, we will charge the card on file (PCI compliant). If you apply for Net 30 terms after being on credit card terms, we reserve the right to charge your card on file for balances owed over 60 days.

9. Sales Tax

Unless otherwise indicated, all prices and charges are exclusive of excise, sales, use, property, occupational, or like taxes which may be imposed by any taxing authority upon the manufacture, sale, or delivery of the items sold hereunder. If any such taxes must be paid by Seller or if Seller is liable for the collection of such tax, the amount thereof shall be in addition to the amounts for the items sold. Buyer agrees to pay all such taxes or to reimburse Seller therefor upon receipt of its invoice. If Buyer claims exemption from any sales, use, or other tax imposed by any taxing authority, Buyer shall hold Seller harmless from and against any such tax, together with any interest or penalties thereon which may be assessed if the items are held to be taxable. 10. Prices & Part Number Selection

Prices on Koolairpump.com are uploaded from the manufacturers’ price lists and may contain typographical errors. Koolairpump.com shall have the right to refuse or cancel any orders placed for a product listed at an incorrect price. Koolairpump.com will inform you directly.

Part number selection is the responsibility of the customer. If an incorrect selection is made by the customer, they are responsible for factory restocking charges as listed in this document. We are not responsible for OEM (Original Equipment Manufacturer) part numbers that a customer requests and do not fit their equipment. If you have a pump on an OEM’s equipment, please refer back to them. If a pump is ordered from Manufacturers Edge or PumpCatalog.com and the pump is incorrect, the customer will be responsible for any factory restocking charges.

Part number selections on Koolairpump.com are the responsibility of the customer.

11. Codes and Regulations

Buyer is responsible for complying with any applicable federal, state, or local codes and regulations concerning application, construction, installation, and/or use of any items sold hereunder. Seller does not guarantee and is not responsible for how items sold hereunder are installed or used.

12. Changes, Reschedules, and Cancellations

Buyer may request to modify the designs or specifications for the items sold hereunder, as well as the quantities and delivery dates thereof, or may request to cancel all or part of this order. However, no such requested modification or cancellation shall become part of the contract between Buyer and Seller unless the Buyer contacts the Seller at (800) 810-1053 and obtains a cancellation number. Acceptance of any such requested modification or cancellation shall be at Seller’s discretion and shall be upon such terms and conditions as Seller may require.

No cancellations on mechanical seals, impellers, or any other parts once the order is placed. Orders on Koolairpump.com cannot be canceled via email. We will consider cancellations for items that have not yet shipped, but they must be called in to (800) 810-1053 with a valid Koolair Pump order number. Once a call is received, a cancellation notice will be emailed to you upon approval. We reserve the right to refuse any cancellation.

Email cancellation requests are not accepted.
Refusal of a shipment does not constitute a refund. Once an item is shipped, the sale is complete.

13. Credit Card Cancellations

There will be a standard 3% cancellation fee applied to the total amount charged. Refunds for canceled orders will be processed within 3 business days, less the assessed fee. If your order has already shipped, additional fees may apply.

14. Force Majeure

Seller does not assume the risk of and shall not be liable for delay or failure to perform any of Seller’s obligations by reason of circumstances beyond the reasonable control of Seller (hereinafter “Events of Force Majeure”). Events of Force Majeure shall include, without limitation, accidents, acts of God, strikes or labor disputes, acts, laws, rules, or regulations of any government or government agency, fires, floods, delays or failures in delivery of carriers or suppliers, shortages of materials, and any other cause beyond Seller’s control.

15. Entire Agreement / Governing Law

The terms and conditions set forth herein, together with any amendments, modifications, and any different terms or conditions expressly accepted by Seller in writing, shall constitute the entire Agreement concerning the items sold, and there are no oral or other representations or agreements which pertain thereto. This Agreement shall be governed in all respects by the law of the State of New Jersey. No actions arising out of the sale of the items sold hereunder or this Agreement may be brought by either party more than two (2) years after the cause of action accrues.

16. License to Koolairpump.com

By posting messages, uploading files, inputting data, or engaging in any other form of communication through this service, you are granting Koolairpump.com and its affiliated entities a royalty-free, perpetual, non-exclusive, unrestricted, worldwide license to:

Use, copy, sublicense, adapt, transmit, retransmit, distribute, and/or publicly perform or display any such communication.
Sublicense to third parties the unrestricted right to exercise any of the foregoing rights granted with respect to the communication.

The foregoing grants shall include the right to exploit any proprietary rights in such communication, including but not limited to rights under copyright, trademark, service mark, or patent laws under any relevant jurisdiction.

We are not responsible for the application of the pump. We provide recommendations based on the information provided by the customer. We are providing application assistance only.

The customer, with knowledge of both chemical and operating conditions, is responsible for the final selection of materials. No recommendation or guarantee of resistance is made or implied by the material choice. The final responsibility for providing the selection of materials lies with the customer, just as with all specified job conditions.
